1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether individually or on behalf of an enterprise, retail store, or brand, hereinafter referred to as "Merchant" or "You") and ARSAVO (operated by Frag and Frame Technologies, hereinafter referred to as "ARSAVO", "we", "us", or "our").

By accessing our website at arsavo.in, submitting an application to our Founding Merchant Whitelist, connecting your custom domain, or utilizing our cloud storefronts, WhatsApp conversational commerce tools, or omnichannel Point-of-Sale (POS) systems, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Description of the ARSAVO Platform

ARSAVO provides an integrated cloud commerce headquarters designed specifically for Indian and global retail businesses:

• No-Code Cloud Web Storefront: Rapid storefront generation, mobile-first performance, custom domain linkage, and 2-tap UPI checkout integrations.
• WhatsApp Conversational Commerce: Automated catalog browsing, instant cart generation, OTP-based Cash on Delivery (COD) order verification, and digital receipt dispatch.
• Omnichannel Retail POS: Web-based in-store counter billing, barcode scanning compatibility, thermal slip printing, and real-time (0.2s) cloud inventory synchronization across physical stores and digital catalogs.
• Logistics & Tax Automation: 1-click AWB airway bill printing via Shiprocket, Delhivery, and Bluedart, paired with automated GST tax calculation and E-Way bill compliance.

3. 0% Platform Fee Policy & Founding Whitelist Terms

Unlike foreign legacy platforms that impose a 0.5% to 2.0% transaction commission on gross turnover or marketplace aggregators that extract 15% to 25%:

• 0% Transaction Commission: ARSAVO takes ₹0 commission (0%) on your sales volume. Merchants retain 100% of their gross revenue.
• Batch 01 Founding Merchant Whitelist: Approved merchants in Batch 01 (first 15 verified brands) receive 3 months of unrestricted free access to Arsavo Pro, a lifetime lock on 0% transaction commission, dedicated 1-on-1 founder support via WhatsApp, and white-glove catalog migration.
• Flat SaaS Subscription: Following promotional or founder cohort periods, platform usage is governed by transparent, flat monthly SaaS subscription tiers without hidden percentage penalties.

4. Merchant Obligations & Acceptable Use

By operating on the ARSAVO platform, Merchants agree to:

• Comply with all applicable laws of India, including the Consumer Protection (E-Commerce) Rules 2020 and the Information Technology Act 2000.
• Ensure that all listed products, descriptions, prices, and stock counts are accurate and not deceptive.
• Refrain from offering prohibited, counterfeit, hazardous, or illegal goods or services.
• Accurately declare GSTIN and HSN codes when generating tax-compliant customer invoices.
• Respect customer privacy and use WhatsApp communications exclusively for legitimate transactional confirmations, OTP verifications, and opt-in order updates.

5. WhatsApp Cloud API & COD Verification Shield

The ARSAVO automated COD Verification Shield triggers interactive WhatsApp messages to reduce return-to-origin (RTO) rates. Merchants acknowledge that WhatsApp message delivery is subject to Meta's Business Messaging Policies, recipient network connectivity, and valid customer phone numbers. ARSAVO is not liable for carrier-level SMS or WhatsApp delivery latencies beyond our software controls.

6. Intellectual Property & Store Ownership

• Your Content: You retain 100% intellectual property ownership over your brand identity, trademarks, logos, product catalogs, customer databases, and promotional imagery. ARSAVO claims zero ownership over your merchandise or customer goodwill.
• Platform IP: ARSAVO, its proprietary codebase, user interface design, logos, algorithms, and documentation remain the exclusive intellectual property of Frag and Frame.

7. Data Portability & Account Termination

We believe founders should never be held hostage by their software. You may export your entire product catalog, customer lists, order records, and POS transaction history at any time in standard CSV/JSON format. You may terminate your merchant account at any time without punitive cancellation fees.

8. Limitation of Liability & Warranty Disclaimer

The platform is provided on an "as is" and "as available" basis with a target 99.98% uptime SLA. To the maximum extent permitted by applicable Indian law, ARSAVO shall not be liable for indirect, incidental, or consequential damages resulting from courier carrier delays, third-party payment gateway outages, or customer bank OTP failures.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. In the event of any dispute or controversy arising out of these Terms, the parties shall first attempt amicable resolution by contacting the Founder Desk. If unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts in India.
